Welcome to CyberComply. These Terms of Service (“Terms”) govern your access to and use of the CyberComply CMMC GRC SaaS platform (“Platform,” “Service”), operated by Armada Cyber Defense LLC (“Company,” “we,” “us,” or “our”). By subscribing, accessing, or using the Platform, you (“Subscriber,” “Customer,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility
You represent and warrant that you:
Are at least 18 years old and legally capable of entering into binding contracts.
Are accessing the Service on behalf of yourself or an entity with proper authorization.
Will use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including U.S. export control laws and Department of Defense cybersecurity requirements.
2. Subscription & Accounts
Account Registration: To access the Platform, you must create an account with accurate, complete, and current information.
Subscription Plans: Access is provided through subscription tiers (e.g., CyberGap, CyberComply Level 1, CyberComply Level 2, Multi-Tenant options). Subscription terms and pricing are available on our Pricing Page.
Account Security: You are responsible for safeguarding your login credentials and for all activity occurring under your account. Notify us immediately of any unauthorized use.
3. Use of the Service
License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform during your subscription term.
Restrictions: You may not:
Copy, modify, reverse engineer, or create derivative works of the Platform.
Rent, lease, sublicense, or resell the Service to third parties without authorization.
Upload, transmit, or store classified information, export-controlled data, or personal data beyond what is necessary for CMMC compliance activities.
Prohibited Conduct: You agree not to use the Service in any way that interferes with its operation, security, or availability to other users.
4. Data & Privacy
Customer Data: You retain ownership of all data you upload. We do not claim rights to your compliance materials, policies, or documentation.
Sensitive Information: The Platform is not designed to store Controlled Unclassified Information (CUI) or Federal Contract Information (FCI). Customers must not upload such data.
Privacy Policy: Use of the Platform is also governed by our [Privacy Policy] (link to your privacy policy page).
5. Payment & Billing
Fees: Subscription fees are due as specified at checkout and are non-refundable except as required by law.
Automatic Renewal: Subscriptions automatically renew unless canceled prior to the renewal date.
Taxes: Customer is responsible for any applicable taxes, duties, or government charges.
6. Term & Termination
Term: These Terms remain in effect for the duration of your subscription.
Termination by Customer: You may cancel your subscription through your account dashboard or by contacting support.
Termination by Company: We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or engage in unlawful or harmful activities.
Effect of Termination: Upon termination, your access to the Platform will cease, and we may delete your account data in accordance with our data retention policy.
7. Intellectual Property
The Platform, its design, features, and all related intellectual property are owned by Armada Cyber Defense LLC or its licensors.
Except for the limited license granted under these Terms, no rights are transferred to you.
8. Service Availability & Disclaimer
No Guarantee of Error-Free Service: While we strive to provide reliable, secure access, the Platform may experience downtime, maintenance, or technical issues.
Disclaimer of Warranties: The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law:
Armada Cyber Defense LLC is not liable for indirect, incidental, consequential, or punitive damages.
Our total liability for any claims related to your subscription will not exceed the fees paid by you during the twelve (12) months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Armada Cyber Defense LLC, its officers, employees, and affiliates from and against any claims, damages, or expenses arising from your misuse of the Service, violation of these Terms, or infringement of any third-party rights.
11. Modifications
We may update or revise these Terms at any time by posting the updated version on our website. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed under the laws of the State of Florida, USA, without regard to its conflict-of-law provisions.
Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida, unless otherwise required by law.
