Referral Partner Sample Agreement

A sample of the terms used when a partner introduces qualified opportunities and CyberComply manages the sale, onboarding, billing, and platform support.

Sample commercial term

CyberComply pays the partner 10% of eligible subscription revenue actually received from an approved referral during the applicable commission period.

Representative agreement terms

1. Referral relationship

The partner introduces prospective customers through the approved deal-registration process.

CyberComply controls pricing, contracting, onboarding, billing, collection, and customer support for referred subscriptions.

2. Deal registration and payment

A referral must be accepted in writing before it is protected. Duplicate, existing, or independently sourced opportunities may be declined.

The 10% recurring share applies only to eligible net subscription revenue received by CyberComply and excludes taxes, refunds, credits, chargebacks, and professional services.

3. Term and termination

The initial term is twelve months and renews annually unless either party gives thirty days' written notice.

Either party may terminate for an uncured material breach. Accrued payment obligations survive termination.

4. Brand and representations

The partner may use approved CyberComply materials only while this agreement remains active.

The partner must accurately describe CyberComply as a compliance management platform and must not imply that CyberComply certifies organizations or that Armada Cyber Defense LLC is a C3PAO.

5. Confidentiality and data protection

Each party will protect the other's confidential information using reasonable safeguards and use it only for the partnership.

Each party remains responsible for complying with applicable privacy, security, export-control, and government-contracting requirements.

6. General terms

The parties are independent contractors. Neither party may bind the other without written authority.

Florida law governs the agreement. Final terms, exhibits, territory, payment details, and signatures appear in the executed agreement.

CyberComply is a compliance management platform, not a C3PAO. Partners must represent CMMC services and their own credentials accurately.
