Registered Partner Sample Agreement
A sample of the terms used when a partner delivers CMMC readiness or broader compliance services using CyberComply client workspaces.
Illustrative sample only
This sample is provided for discussion and is not an offer, a binding agreement, or legal advice. Only an agreement signed by authorized representatives of both parties creates obligations.
30% recurring share
Sample commercial term
CyberComply pays the partner 30% of eligible subscription revenue actually received for approved registered customers, subject to the final agreement.

Representative agreement terms
1. Program delivery
The partner manages its advisory or managed-service relationship and is responsible for the accuracy and quality of its professional services.
CyberComply provides platform access and support; the partner remains responsible for its methodology, deliverables, and customer commitments.
2. Registered customers and payment
Deal protection begins only after written approval and continues for the protection period stated in the executed agreement.
The 30% recurring share applies only to eligible net subscription revenue received by CyberComply and excludes taxes, refunds, credits, chargebacks, and separately contracted services.
3. Term and termination
The initial term is twelve months and renews annually unless either party gives thirty days' written notice.
Either party may terminate for an uncured material breach. Accrued payment obligations survive termination.
4. Brand and representations
The partner may use approved CyberComply materials only while this agreement remains active.
The partner must accurately describe CyberComply as a compliance management platform and must not imply that CyberComply certifies organizations or that Armada Cyber Defense LLC is a C3PAO.
5. Confidentiality and data protection
Each party will protect the other's confidential information using reasonable safeguards and use it only for the partnership.
Each party remains responsible for complying with applicable privacy, security, export-control, and government-contracting requirements.
6. General terms
The parties are independent contractors. Neither party may bind the other without written authority.
Florida law governs the agreement. Final terms, exhibits, territory, payment details, and signatures appear in the executed agreement.
CyberComply is a compliance management platform, not a C3PAO. Partners must represent CMMC services and their own credentials accurately.
