Strategic Partner Sample Agreement

A sample framework for larger or embedded partnerships involving portfolio delivery, joint planning, or other commitments that require negotiated commercial terms.

Sample commercial term

No standard percentage applies. Revenue share, discounts, minimum commitments, territory, service obligations, and performance targets are negotiated and written into the executed agreement.

Representative agreement terms

1. Strategic relationship

The parties will document the partnership scope, customer model, named programs, responsibilities, and success measures in one or more written exhibits.

Any exclusivity, territory, volume commitment, roadmap access, or dedicated support applies only when expressly stated in an executed exhibit.

2. Commercial structure

There is no predetermined revenue-share percentage for Strategic Partners.

Payment calculations, eligible revenue, exclusions, reporting, and payment timing will be defined in the final agreement based on the negotiated relationship.

3. Term and termination

The initial term is twelve months and renews annually unless either party gives thirty days' written notice.

Either party may terminate for an uncured material breach. Accrued payment obligations survive termination.

4. Brand and representations

The partner may use approved CyberComply materials only while this agreement remains active.

The partner must accurately describe CyberComply as a compliance management platform and must not imply that CyberComply certifies organizations or that Armada Cyber Defense LLC is a C3PAO.

5. Confidentiality and data protection

Each party will protect the other's confidential information using reasonable safeguards and use it only for the partnership.

Each party remains responsible for complying with applicable privacy, security, export-control, and government-contracting requirements.

6. General terms

The parties are independent contractors. Neither party may bind the other without written authority.

Florida law governs the agreement. Final terms, exhibits, territory, payment details, and signatures appear in the executed agreement.

CyberComply is a compliance management platform, not a C3PAO. Partners must represent CMMC services and their own credentials accurately.
